Terms and licence.

The agreement between you and us when you use Upcase. Written to be read, not skimmed past.

1. Who we are

Upcase is provided by [Company name] Ltd, a company registered in England and Wales under number [company number], with its registered office at [registered office address] (VAT number [VAT number, if registered]). "We", "us" and "our" mean [Company name] Ltd. "You" means the person or business buying or using Upcase.

2. What you're buying

A Upcase plan is a yearly licence for the WordPress plugin, for the number of live stores in your plan. For the length of your licence it includes:

  • a licence key that switches on the plugin's features for your stores;
  • downloads and updates of the plugin;
  • support by ticket and email, as described on our support page.

Staging, development and local copies of a licensed store may use Upcase without using up your licence.

3. The software licence

The plugin's code is released under the GNU General Public License, version 2 or later, like WordPress itself. Your plan pays for access to downloads, updates, support and licensed features; it doesn't limit what the GPL lets you do with the code. The Upcase name and logo are not covered by the GPL and may not be used without our permission.

4. Free trial

A trial gives you every Pro feature for 14 days, free, without payment details. It ends by itself. One trial per customer and store.

5. Payment and renewal

  • Plans are paid yearly in advance through our client area. Prices exclude VAT, which is added where it applies.
  • Your plan renews each year unless you turn off renewal in your client area before the renewal date.
  • If we change our prices, we'll tell you at least 30 days before your next renewal, and the new price only applies from that renewal.
  • You can upgrade at any time and pay the difference for the rest of your year.

6. If your licence ends

If your licence lapses, is cancelled or can't be checked, Upcase won't break your store. Existing cases, links and statuses keep working; opening new cases and licensed features such as status actions pause until the licence is active again. Your settings stay in your WordPress database and your cases stay in ClickUp.

7. Your responsibilities

  • Keep your licence key private and use it only on the number of live stores in your plan.
  • Keep backups of your site. Try new features, especially status actions that create and complete orders, with test orders first.
  • You decide which customer details your store sends to ClickUp. For that data you are the controller under data protection law, and ClickUp is your processor. See our privacy policy.
  • Don't use Upcase to break the law or anyone else's terms, including ClickUp's and WooCommerce's.

8. ClickUp and WooCommerce

Upcase works with services we don't control. ClickUp and WooCommerce have their own terms, and they may change their products or APIs. We'll keep Upcase working with them as best we reasonably can, but we can't promise that every feature will always be available if they change or remove something it relies on.

9. Our responsibility to you

  • We provide Upcase with reasonable care and skill, and will fix problems that are our fault within a reasonable time.
  • Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law doesn't allow us to limit.
  • Otherwise, our total liability to you is limited to the amount you paid us in the 12 months before the claim, and we aren't liable for indirect or consequential losses, such as lost profits, lost business or lost data.
  • If you're a consumer, you have legal rights these terms don't affect.

10. Ending the agreement

You can stop at any time by turning off renewal; your plan then runs to the end of the year you've paid for. We may suspend or end a licence if it's not paid, used on more stores than it covers, or used in breach of these terms. If we ever stop selling Upcase, we'll give you at least 90 days' notice.

11. Changes to these terms

We may update these terms. If a change matters to you, we'll email you before it takes effect. The date at the top shows when they last changed.

12. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you're a consumer living elsewhere in the UK, you may also bring proceedings in your local courts.
